1. What is a depository? Toggle
A depository is an organisation which holds securities (like shares, debentures, bonds, government securities, mutual fund units etc.) of investors in electronic form at the request of the investors through a registered Depository Participant. It also provides services related to transactions in securities.
2. Who is a Depository Participant? Toggle
A Depository Participant (DP) is an agent of the depository through which it interfaces with the investor and provides depository services. Public financial institutions, scheduled commercial banks, foreign banks operating in India with the approval of the Reserve Bank of India, state financial corporations, custodians, stock-brokers, clearing corporations /clearing houses, NBFCs and Registrar to an Issue complying with the requirements prescribed by SEBI can be registered as DP.
3. What is dematerialization (Demat)? Toggle
De-materialisation is the process by which physical certificates of an investor are converted to an equivalent number of securities in electronic form and credited into the Beneficiary owners account with his DP.
4. Who is a Beneficial Owner (BO)? Toggle
When physical shares are converted in to electronic form, the depository becomes 'Registered owner' in the books of the company and investors name is removed from books of the company. Depository is holding shares in its records on behalf of the investors who have opened a demat account with the depository. Hence all benefits are given to the actual investor who is called as a “Beneficial Owner” (BO) of the securities.
5. Who is registered owner of Securities? Toggle
When securities of a company are held in physical form by an investor, Name of the investor is recorded in the books of the company as a ‘Registered Owner of the Securities. Each certificate is identified by Folio number, certificate number and distinctive range numbers.
6. Who is an RTA? Toggle
An RTA i.e. Registrar and Transfer Agent is an agent of the issuer. RTA act as an intermediary between the issuer and depository for providing services such as Dematerialization, Rematerialisation, Initial Public Offers and Corporate actions.
